Referrer From your Haltered account
Participation is open to (a) trainers with an active personal Haltered account in good standing, and (b) barn owners or barn admins (Tier 2 or Tier 3) acting in their personal capacity. The Referrer must have a connected Stripe Connect personal payout account before any commission can be paid.
Trainers participating must hold a current USEF membership and have completed Haltered’s identity and credential verification. Haltered may suspend Referrer participation if USEF status lapses or verification is revoked.
A Referrer may not refer themselves, a barn they own, a barn at which they hold a Tier 2 or Tier 3 admin role at the time of referral, an immediate family member’s barn, or any entity in which the Referrer holds a financial interest. Self-referrals are not eligible for commission and may result in forfeit of all unpaid commissions and termination from the Program.
The Program is currently offered to Referrers and referred barns located within the United States, in any USEF zone where Haltered operates. The Program covers Hunter, Jumper, Equitation, and Pony disciplines, consistent with Haltered’s overall platform scope.
A barn is attributed to the first Referrer whose unique referral link or referral code was used during the barn’s account creation, or whose name was entered in the “Referred by” field at signup. If no referral link, code, or name is captured at signup, the barn is unattributed and no commissions are payable for that barn under this Program.
Attribution is determined at the moment of the referred barn’s account creation and cannot be added, modified, or transferred after the fact. Subsequent references to a Referrer in messaging, support tickets, or the referred barn’s account settings do not establish or alter attribution.
Once established, attribution is permanent and applies to all qualifying sales by the referred barn for the life of that barn’s account on Haltered. There is no expiration. There is no cap on the number of qualifying sales credited to a single Referrer for a single referred barn.
If a referred barn is sold or transferred to a new owner, attribution remains with the original Referrer. Future qualifying sales by the new ownership of that barn entity continue to credit the original Referrer.
If the Referrer’s Haltered account is voluntarily deactivated, suspended for cause, or terminated under Section 8, no commissions accrue from that point forward, and any earned-but-unpaid commissions held in escrow at the time of termination may be forfeited. Commissions already paid out are not subject to clawback except in cases of fraud or material breach.
Haltered pays the Referrer a flat-fee commission for each qualifying sale (as defined in Section 4.3) by a barn attributed to the Referrer, based on the gross sale price of the horse:
All referral commissions are paid by Haltered out of its share of platform revenue. The seller, the buyer, the referred barn, and the trainers involved in the underlying sale do not pay any portion of the referral commission. The 10% listing commission charged to sellers is unaffected by the Program.
A “qualifying sale” means a horse purchase transaction listed by the referred barn, completed on the Haltered platform, where (a) the contract has been fully executed by both parties, (b) ACH payment has cleared and funds have been disbursed to the seller, and (c) no chargeback, dispute, or refund is pending or has been issued. Lease transactions, withdrawn offers, and cancelled sales do not qualify.
Referral commissions are paid in addition to, and stack with, any listing commissions or trainer splits the Referrer earns through other roles on Haltered. All payments to the Referrer from Haltered (referral commissions plus listing income) aggregate toward the $600 IRS reporting threshold per calendar year.
The flat-fee structure in Section 4.1 applies to every qualifying sale regardless of the Referrer’s total referral volume. There is no minimum number of referrals required to participate, and there are no escalating bonuses.
A referral commission is earned at the moment a qualifying sale closes — defined as the moment Haltered confirms ACH payment has cleared and the seller’s share has been disbursed. Acceptance of an offer, signing of a contract, or initiation of payment do not by themselves trigger payment of the commission.
Haltered will deposit earned referral commissions to the Referrer’s connected Stripe Connect personal payout account within two (2) business days of the qualifying sale close. If the Referrer’s payout account is not connected at the time of close, the commission is held in escrow and released within two (2) business days of the Referrer connecting a valid payout account.
If a qualifying sale is reversed by a chargeback or refund within sixty (60) days of close, the corresponding referral commission is reversed and either deducted from the Referrer’s next payout or, if no upcoming payout exists, invoiced for return within fifteen (15) days. Chargebacks beyond sixty days are absorbed by Haltered.
All commissions are calculated and paid in U.S. dollars. Standard Stripe payout fees, if any, are absorbed by Haltered. The Referrer is responsible for any bank fees imposed by their financial institution upon receipt.
Earned and paid commissions are visible in real time on the Referrer’s referral dashboard. Haltered retains transaction records for a minimum of seven (7) years and will provide statements on request for tax or audit purposes.
The Referrer participates in the Program as an independent contractor. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between Haltered and the Referrer. The Referrer is solely responsible for their own taxes, insurance, and other obligations arising from participation in the Program.
Haltered will issue a Form 1099-NEC to any Referrer who receives $600 or more in aggregate payments from Haltered in a calendar year, consistent with current IRS thresholds. The Referrer is responsible for providing accurate W-9 information, including a current legal name, address, and taxpayer identification number, before the first payout.
Haltered does not provide tax advice. The Referrer is encouraged to consult a qualified tax professional regarding the treatment of referral income.
The Referrer agrees to represent Haltered honestly and accurately in all referral outreach. The Referrer will not make false claims about Haltered’s services, pricing, transaction outcomes, regulatory status, or affiliations.
The Referrer will not engage in unsolicited mass email, SMS, or messaging campaigns, post to forums or social media in violation of those platforms’ terms, or otherwise market the Program through methods that violate the CAN-SPAM Act, the TCPA, or analogous laws. Outreach should rely on the Referrer’s genuine professional relationships within the Hunter / Jumper / Equitation / Pony community.
The Referrer will not create fake accounts, submit fraudulent referrals, manipulate signup data, collude with referred barns to inflate sale prices, or attempt to circumvent Section 2.3’s self-referral prohibition through indirect means. Violation of this Section 7.3 results in immediate termination, forfeit of all unpaid commissions, and potential clawback of past commissions.
The Referrer is granted a limited, revocable, non-exclusive license to use the “Haltered” name and word mark solely for the purpose of identifying and promoting the Program. The license terminates automatically upon the Referrer’s exit from the Program. The Referrer may not register similar marks, domains, or social handles, and may not represent themselves as an employee, agent, or official representative of Haltered.
Haltered may modify these Terms, including the commission tiers in Section 4.1, by posting an updated version to haltered.com and providing the Referrer with at least thirty (30) days’ advance notice by email. Continued participation after the effective date of the updated Terms constitutes acceptance.
Commissions earned but not yet paid as of the effective date of any update will be paid out under the terms in effect at the time the underlying qualifying sale closed. Future qualifying sales after the effective date are subject to the updated Terms.
The Referrer may withdraw from the Program at any time by notifying Haltered through the referral dashboard or by emailing referrals@haltered.com. Earned-but-unpaid commissions on qualifying sales that closed before withdrawal will be paid out per Section 5.2.
Haltered may suspend or terminate the Referrer’s participation, with or without cause, on written notice. Termination for cause — including breach of these Terms, fraud, deceptive conduct under Section 7.3, USEF status revocation, or the Referrer’s broader removal from the Haltered platform — results in immediate forfeit of all earned-but-unpaid commissions. Termination without cause does not result in forfeit; earned-but-unpaid commissions will be paid out.
Haltered may discontinue the Program in its entirety on at least sixty (60) days’ advance notice by email and by notice posted to haltered.com. All earned-but-unpaid commissions on qualifying sales closing before the discontinuation date will be paid out per Section 5.2.
Haltered is the merchant of record for transactions on the platform. Haltered processes payments via Stripe Connect, retains chargeback liability, and pursues contractual recovery from involved parties as needed. The Program does not alter the terms of any sale or lease contract entered into through Haltered, does not change the 10% listing commission charged to sellers, and does not entitle the Referrer to any role in transactions to which the Referrer is not otherwise a party.
Referral commissions are platform marketing expenses, not commissions on the underlying sale. The Referrer does not act as agent for the seller, the buyer, the listing barn, or any trainer in connection with the Program. Nothing in these Terms gives the Referrer access to confidential transaction details beyond what is shown on the Referrer’s own dashboard (typically: referred barn name, sale aggregate, and commission amount).
These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions. Any dispute arising out of or relating to the Program shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and the parties consent to the personal jurisdiction of those courts.
These Terms, together with the Haltered platform Terms of Service and Privacy Policy, constitute the entire agreement between Haltered and the Referrer with respect to the Program and supersede all prior negotiations, representations, or agreements relating to the subject matter, whether written or oral.
The Referrer may not assign or transfer their rights or obligations under these Terms without Haltered’s prior written consent. Haltered may assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets.
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect, and the unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving the parties’ original intent.
The failure of either party to enforce any provision of these Terms on any occasion shall not be construed as a waiver of that provision or any other provision in any other circumstance.
Notices to the Referrer will be sent to the email address on file in the Referrer’s Haltered account. Notices to Haltered must be sent to referrals@haltered.com, with a copy to the operating address of The Horsedad LLC on file with the Arizona Corporation Commission.
By checking the box below, typing your full legal name, and clicking Enroll, you accept these Referral Program Terms and agree to be bound by them. Acceptance is a unilateral commitment by you; Haltered’s offering of the Program under these Terms is established by Haltered’s posting of this document on haltered.com.
